These trademarks signify our brand's commitment to providing exceptional meal planning solutions for individuals, outfitters, camps, and other organizations. Any unauthorized use of the WHOLESUM name, logo, or related trademarks is strictly prohibited and may result in legal action.

Intellectual Property Rights

All content and materials provided on the WHOLESUM platform, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Keough Solutions, LLC, and are protected by United States and international copyright laws. Users are granted a limited, non-exclusive, revocable license to access and use the WHOLESUM platform for personal and organizational meal planning purposes only. Any reproduction, distribution, modification, or other unauthorized use of our trademarks, copyrighted materials, or any other intellectual property without prior written consent from Keough Solutions, LLC is strictly prohibited.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Wholesum Food Calculator, including our website(s) at wholesum.app and any associated subdomains and mobile applications (collectively, the "Site"), and all related services (the "Services"), provided by Keough Solutions, LLC ("Wholesum," "we," "us," or "our").

The Services provide software for meal planning, recipe management, food quantity calculations, shopping lists, nutrition planning, and related tools for individuals and organizations.

By creating an account, accessing the Site, or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Site or Services.

THESE TERMS INCLUDE A MANDATORY INDIVIDUAL ARBITRATION PROVISION AND A CLASS ACTION AND JURY TRIAL WAIVER IN SECTION 14. THIS AFFECTS YOUR LEGAL RIGHTS. PLEASE READ SECTION 14 CAREFULLY.

Headings in these Terms are for convenience only and do not affect interpretation.

2. Definitions

  • "Content" means any text, recipes, meal plans, nutritional data, images, graphics, software, or other material made available through the Site or Services, whether created by Wholesum or by users.
  • "Wholesum Content" means Content that is not User Content.
  • "User Content" means Content that a user submits, uploads, or creates through the Services, such as custom recipes, notes, or meal plans.
  • "Account" means a registered user profile on the Site.
  • "Subscription" means a paid plan providing access to designated features of the Services.

3. Eligibility and Age Requirements

The Services are intended for users who are at least 18 years old, or the age of majority in their jurisdiction, and who are capable of forming a binding contract. Notwithstanding the foregoing:

  • No one under the age of 13 may create an Account, submit personal information, or otherwise use the Services, in any circumstance. We do not knowingly collect personal information from anyone under 13. See our Privacy Policy for details on how we handle any such information if inadvertently collected.
  • Users between the ages of 13 and 17 ("Minor Users") may use the Services only with the prior consent of a parent or legal guardian, who must accept these Terms on the Minor User’s behalf and who assumes full responsibility for the Minor User’s compliance with these Terms.
  • A parent or guardian who permits a Minor User to access the Services represents that they have authority to bind the Minor User to these Terms and agrees to indemnify Wholesum for the Minor User’s use of the Services to the extent set out in Section 13.
  • If we learn that a user is under 13, or that a Minor User is using the Services without appropriate parental consent, we will suspend or terminate the applicable Account and delete associated personal information consistent with our Privacy Policy.

4. Accounts and Security

4.1 Registration

To access certain features, you must register an Account and provide accurate, current, and complete information, including your name, email address, and, if applicable, payment information. You agree to keep this information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, whether or not authorized by you. Do not share your Account credentials with others. Notify us immediately at [email protected] if you suspect unauthorized use of your Account.

We recommend logging out of your Account at the end of each session, particularly on shared or public devices. While we take reasonable steps to protect Account security, we cannot guarantee that unauthorized third parties will never circumvent those measures, and we are not liable for losses caused by unauthorized access that occurs despite our reasonable security measures, except where caused by our own negligence or breach of these Terms.

4.3 Accurate Use

By accessing your Account, you represent that: you are the registered user or an authorized Minor User; the information on your Account is accurate; you are using the Services for lawful, personal, non-commercial purposes (unless you have a separate commercial agreement with us); and you are not using the Services to compete with, or in connection with any dispute against, Wholesum.

5. Changes to the Site and Services

We may update, modify, suspend, or discontinue any part of the Site or Services at any time, including features, AI functionality, third-party integrations, software updates, or automatic patches. We will provide advance notice of material changes that significantly reduce functionality where practicable, but are not obligated to maintain any particular feature indefinitely. Continued use of the Services after a change constitutes your acceptance of that change.

6. Subscriptions, Billing, and Cancellation

6.1 Subscription Plans

Certain features require a paid Subscription, billed monthly or annually as selected at signup. By subscribing, you authorize us to charge your designated payment method on a recurring basis until you cancel.

6.2 Automatic Renewal Disclosure

IMPORTANT — AUTOMATIC RENEWAL TERMS:

  • Your Subscription will automatically renew at the end of each billing period (monthly or annual, as applicable) unless you cancel before the renewal date.
  • You will be charged the then-current Subscription price at each renewal, unless we have provided advance notice of a price change as described in Section 6.4.
  • To cancel and avoid the next renewal charge, you must cancel through your Account settings, or by emailing [email protected], at least 24 hours before your renewal date.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access through that period’s end.
  • If a renewal is processed inadvertently, you may request a refund within 3 business days to request a refund.

6.3 Refunds

Except where required by applicable law, Subscription fees are non-refundable, including for partial billing periods or unused features. We may, in our sole discretion, offer a refund on a case-by-case basis.

6.4 Fee Changes

We may change Subscription fees prospectively. We will notify you of any price increase at least [30] days before it takes effect via email or in-Site notice. If you do not agree to the new price, you may cancel before the change takes effect.

6.5 Trial and Promotional Accounts

We may offer trial or promotional Accounts with limited features or duration, in our discretion, subject to any additional terms disclosed at signup. Trials convert to paid Subscriptions upon expiration unless cancelled beforehand, and we will disclose this conversion clearly at the time you sign up for a trial.

7. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal or organizational meal-planning purposes. This license does not include any right to: resell or commercially exploit the Services or Wholesum Content; copy, modify, or create derivative works from the Site or Services; reverse-engineer or attempt to extract source code except as permitted by law; or use automated means to scrape or aggregate Wholesum Content.

This license terminates automatically if you breach these Terms or if your Account is suspended or terminated.

8. User Content and Feedback

8.1 User Content

You retain ownership of User Content you submit (such as custom recipes or notes), and you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process that User Content solely as necessary to operate and improve the Services for you and, where you choose to share it, other users.

8.2 Feedback

If you voluntarily provide suggestions, ideas, or feedback about the Services ("Feedback"), you agree that we may use that Feedback to improve our products without compensation or attribution to you. Unlike the prior version of these Terms, we do not claim ownership of your Feedback as our intellectual property; we simply retain a license to use it freely.

8.3 Aggregated and De-Identified Data

We may collect and use de-identified, aggregated usage data (such as anonymized recipe or nutrition trends across our user base) to operate, improve, and promote the Services, as described further in our Privacy Policy. This data is not linked back to your identity.

8.4 Artificial Intelligence Features

Certain features of the Services may use artificial intelligence ("AI"), machine learning models, or similar automated technologies to generate or assist with recipes, meal plans, ingredient substitutions, shopping lists, nutritional estimates, dietary recommendations, food quantity calculations, or other content.

AI-generated content is produced automatically and may contain inaccuracies, omissions, outdated information, inappropriate recommendations, or other errors. AI output should be considered a planning aid only and not professional advice.

You are solely responsible for reviewing and verifying all AI-generated content before relying on it for purchasing food, preparing meals, serving food, accommodating dietary restrictions, or making nutritional or operational decisions.

Wholesum makes no representation or warranty that AI-generated content is accurate, complete, safe, nutritionally appropriate, allergen-free, legally compliant, or suitable for any particular person, organization, event, or circumstance.

We may add, remove, modify, replace, or discontinue AI features or third-party AI providers at any time without notice.

8.5 User Content Responsibilities

You are solely responsible for all User Content that you upload, create, import, share, or distribute through the Services, including recipes, ingredient lists, meal plans, notes, images, and other materials.

You represent and warrant that you possess all necessary rights, permissions, and licenses to upload such content and that your User Content does not infringe any copyright, trademark, trade secret, privacy, publicity, or other legal rights of any third party.

Wholesum is not responsible for reviewing or validating User Content for accuracy, legality, food safety, nutritional quality, or suitability.

9. Intellectual Property and Trademarks

The Wholesum name, logo, and related marks are trademarks of Keough Solutions, LLC (U.S. Registration No. 7400975). All Site design, software, and Wholesum Content are owned by us or our licensors and protected by copyright and other laws. Except for the limited license in Section 7, no rights are granted to you in our intellectual property.

You may not use our name, logo, or marks to imply endorsement or affiliation, in connection with adult content, gambling, or the sale of regulated products to minors, or in any manner that is misleading or disparaging, without our prior written consent.

10. Third-Party Links and Services

The Services may link to or integrate with third-party websites, recipe databases, or nutrition data providers. We do not control and are not responsible for third-party content, products, or services. Your use of any third-party service is at your own risk and subject to that provider’s own terms.

Third-party services, including artificial intelligence providers, recipe databases, nutrition databases, mapping providers, payment processors, and authentication services, may change or become unavailable at any time. Wholesum is not responsible for the availability, accuracy, or continued operation of any third-party service.

11. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT AS REQUIRED BY APPLICABLE LAW.

We do not warrant that the Services will be uninterrupted, error-free, or secure. Nutritional information, dietary recommendations, recipes, ingredient substitutions, serving sizes, shopping lists, and meal plans provided through the Services are intended solely for informational and meal-planning purposes.

Nutritional values are estimates only and may vary significantly based on ingredient brands, preparation methods, cooking techniques, substitutions, serving sizes, and other factors. We do not guarantee the accuracy or completeness of any nutritional information.

Recipes, cooking instructions, ingredient quantities, preparation methods, and meal plans may contain errors or omissions. Users should independently review and adjust all recipes based on their own judgment and experience.

The Services are not intended to provide medical, nutritional, dietetic, or food safety advice. Always consult an appropriately qualified healthcare or nutrition professional regarding medical conditions, allergies, dietary restrictions, or other health-related concerns.

Food Safety

Users are solely responsible for safely purchasing, storing, transporting, preparing, cooking, serving, and consuming food using the Services.

Wholesum does not guarantee the safety, quality, freshness, shelf life, storage requirements, cooking temperatures, preparation methods, or suitability of any recipe, ingredient, meal plan, or food recommendation generated by the Services.

Users are responsible for following all applicable food safety guidance, including current recommendations issued by the United States Department of Agriculture (USDA), the U.S. Food and Drug Administration (FDA), local health authorities, or comparable authorities in their jurisdiction.

Allergens and Dietary Restrictions

Although the Services may identify allergens, dietary restrictions, ingredient substitutions, or other nutritional characteristics, such information may be incomplete, inaccurate, or unavailable.

Users are solely responsible for verifying ingredients, confirming allergen information, preventing cross-contamination, and ensuring that meals are appropriate for individuals with allergies, intolerances, dietary restrictions, religious requirements, or medical conditions.

Wholesum does not warrant that any recipe, meal plan, ingredient substitution, or recommendation is free from allergens or otherwise suitable for any specific individual.

Commercial and Organizational Use

Organizations, businesses, schools, camps, outfitters, guides, universities, caterers, and other commercial users remain solely responsible for complying with all applicable laws, regulations, health codes, licensing requirements, and food safety obligations.

Use of the Services does not transfer or reduce any legal responsibility for food safety, nutrition compliance, or regulatory compliance.

Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHOLESUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR LIABILITY ARISING FROM OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR AS OTHERWISE REQUIRED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify and hold harmless Wholesum and its officers, directors, employees, and agents from third-party claims, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Site or Services; (c) your violation of any law or third-party right; or (d) User Content you submit. We will provide you notice of any such claim and the opportunity to participate in its defense at your own expense.

14. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

14.1 Agreement to Arbitrate

Except as set out below, you and Wholesum agree to resolve any dispute arising out of or relating to these Terms or the Services through binding individual arbitration administered by the American Arbitration Association (AAA) under its rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

14.2 Class Action and Jury Trial Waiver

YOU AND WHOLESUM EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.

14.3 Arbitration Procedure

Arbitration will be conducted in Missoula, Montana, in English, and may proceed by written submissions, telephone, or online conference at the initiating party’s election, without requiring in-person appearances unless the parties agree otherwise. The arbitrator will issue a written decision, generally within 120 days of appointment (extendable by 30 days if needed).

14.4 Fees

Each party bears its own attorneys’ fees and costs in arbitration, except the prevailing party may recover fees and costs where authorized by the AAA rules or applicable law.

14.5 Severability of Arbitration Clause

If any part of this Section 14 is found unenforceable, the remainder remains in effect, except that if the class action waiver is found unenforceable, the entire arbitration agreement (but not the rest of these Terms) will be null and void, and disputes will proceed in the courts identified in Section 15.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Montana and applicable U.S. federal law, without regard to conflict-of-laws principles. For any dispute not subject to arbitration (or if the arbitration agreement is found unenforceable), the state and federal courts located in Missoula, Montana have exclusive jurisdiction, and you consent to personal jurisdiction there.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wholesum regarding the Services and supersede prior agreements on that subject.

16.2 Severability

If any provision of these Terms is held invalid, the remaining provisions remain in full force and effect.

16.3 No Waiver

Our failure to enforce a provision is not a waiver of our right to do so later.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.5 Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, war, or widespread infrastructure failures.

16.6 Notices

We may provide notices to you via email or by posting on the Site. Notices to us should be sent to [email protected].

16.7 International Use

The Services are operated from the United States. If you access the Services from outside the U.S., you are responsible for compliance with local laws.

PRIVACY POLICY

1. Introduction

Keough Solutions, LLC ("Wholesum," "we," "us," or "our") respects your privacy. This Privacy Policy explains what information we collect through the Wholesum Food Calculator website and mobile applications (the "Services"), how we use and share it, and the choices available to you. This Policy is incorporated into and forms part of our Terms of Service.

By using the Services, you acknowledge this Privacy Policy. Where required by law, we will obtain your consent separately, such as for certain cookies or marketing communications.

2. Information We Collect

2.1 Information You Provide

  • Account information: name, email address, and password.
  • Billing information: payment card details processed by Stripe; we do not store full payment card numbers ourselves; and billing address.
  • Profile and content information: dietary preferences, allergies or restrictions you choose to enter, recipes, meal plans, notes, and other content you create.
  • Communications: messages you send to support, survey responses, and Feedback you submit.

2.2 Information Collected Automatically

  • Device and usage data: IP address, browser type, device identifiers, operating system, pages viewed, features used, and timestamps.
  • Approximate location: derived from IP address at the city or region level, unless you separately grant precise geolocation permission through your device.
  • Cookies and similar technologies: see Section 4.

2.3 Information from Third Parties

If you sign in through a third-party service, such as Google or Apple, we receive basic profile information as permitted by your account settings with that service.

3. How We Use Your Information

  • To provide, operate, maintain, and improve the Services, including your recipes, meal plans, and account.
  • To process payments and manage subscriptions.
  • To communicate with you about your account, transactions, support requests, and product updates.
  • To send marketing communications where permitted, with an opt-out available as described in Section 8.
  • To monitor performance, security, and usage trends using aggregated and de-identified information.
  • To detect, investigate, and prevent fraud, abuse, and security incidents.
  • To comply with legal obligations and enforce our Terms of Service.

AI Features

Certain features of the Services may use artificial intelligence ("AI") or machine learning technologies to generate recipes, meal plans, ingredient substitutions, shopping lists, nutritional estimates, and other content.

Information you submit to AI-powered features may be processed to generate requested results or recommendations. We do not use your personal information to train our own AI models unless we separately notify you and obtain any consent required by applicable law.

Where AI functionality relies on third-party AI providers, we share only the information reasonably necessary to provide the requested functionality and require those providers to protect your information under applicable contractual safeguards.

Dietary preferences, allergies, and food restrictions that you voluntarily provide are used solely to provide and improve the Services you request. We do not use this information for targeted advertising, and we do not sell this category of personal information.

4. Cookies and Tracking Technologies

We and our service providers use cookies, pixels, and similar technologies to operate the Services, remember preferences, improve functionality, measure performance, and understand usage patterns.

Where required by applicable law, including for users in jurisdictions that require cookie consent or opt-out rights, we provide tools allowing you to manage non-essential cookies.

Most browsers allow you to block or delete cookies, although doing so may affect the functionality of the Services.

We do not currently respond to browser "Do Not Track" signals because there is no universally accepted standard for responding to them.

5. How We Share Information

We do not sell your personal information for money. We may share information as follows:

  • Service providers: vendors and platforms that help us operate the Services, including Amazon Web Services (AWS), Heroku, Cloudflare, Stripe, Google Analytics, HubSpot, authentication providers, customer support providers, analytics providers, email providers, and artificial intelligence providers.
  • Legal and safety reasons: to comply with law, respond to legal process, or protect the rights, property, or safety of Wholesum, our users, or others.
  • Business transfers: in connection with a merger, acquisition, financing, or sale of assets, subject to standard confidentiality protections and, where required by law, notice to you.
  • With your direction: when you choose to share recipes, meal plans, profile information, or other content with other users or export data yourself.
  • Aggregated or de-identified data: information that is not personal information and may be used or shared for analytics, benchmarking, research, or marketing purposes.

Recipes, meal plans, and other content that you choose to share with other users will be shared only in accordance with your sharing settings and instructions.

6. Data Retention

We retain personal information for as long as your account is active and as needed to provide the Services, comply with our legal obligations, resolve disputes, and enforce our agreements. When you request deletion of your account, we generally complete deletion requests within 14 days, except where we are required to retain information longer, such as billing records for tax purposes.

7. Data Security

We use reasonable administrative, technical, and physical safeguards designed to protect your information, including encryption in transit and access controls limiting employee access to personal information on a need-to-know basis. No system is completely secure, and we cannot guarantee absolute security of information transmitted over the internet.

8. Your Privacy Rights

8.1 General Choices

  • Marketing emails: you can opt out at any time using the unsubscribe link in any marketing email. You cannot opt out of essential transactional or account-related communications while your account remains active.
  • Account information: you can review and update your account information through your account settings.
  • Deletion: you may request deletion of your account and associated personal information by contacting [email protected].
  • Data portability: you may request a copy of your personal information in a commonly used electronic format where required by applicable law.

8.2 California Residents

If you are a California resident, you may have the right to know what personal information we collect, use, and disclose; request deletion of your personal information; request correction of inaccurate personal information; and opt out of the "sale" or "sharing" of personal information, if applicable. We do not discriminate against you for exercising these rights.

To exercise these rights, contact us at [email protected]. We will verify your identity before fulfilling requests as required by law. You may designate an authorized agent to submit requests on your behalf.

8.3 Other U.S. State Residents

Residents of states with applicable consumer privacy laws may have rights to access, correct, delete, obtain a copy of, or opt out of certain processing of their personal information, subject to applicable law. These rights may include rights related to targeted advertising, profiling, or certain sensitive personal information, depending on the law that applies.

8.4 Organizational Accounts

If you use the Services through an organization, such as an outfitter, school, camp, university, employer, or other organization, certain account information may be accessible to administrators of that organization in accordance with their account permissions.

9. Children's Privacy

The Services are not directed to children under 13, and we do not knowingly collect personal information from children under 13. Users between 13 and 17 may use the Services only with parent or guardian consent, as described in our Terms of Service. If we learn that we have collected personal information from a child under 13, or from a 13-to-17-year-old without appropriate parental consent, we will delete that information promptly. 10. International Data Transfers

We are based in the United States, and information we collect is processed and stored in the United States. If you access the Services from outside the U.S., you understand that your information will be transferred to and processed in the U.S., which may have different data protection laws than your home jurisdiction.

11. Third-Party Services

The Services may contain links to third-party websites or integrate with third-party services, including payment processors, authentication providers, nutrition databases, recipe databases, mapping providers, artificial intelligence providers, analytics providers, customer support providers, marketing platforms, and cloud hosting providers. This Policy does not apply to those third parties, and we encourage you to review their privacy policies before providing them information.

12. Mobile Permissions

Depending on your device and how you use the Services, we may request permission to access device features such as notifications, camera, photo library, or location. You may revoke these permissions at any time through your device settings.

13. Changes to This Policy

We may update this Privacy Policy from time to time. We will post the revised Policy with an updated "Last Updated" date, and for material changes, we will provide additional notice, such as an email or in-Site banner, before the changes take effect where required or appropriate.
